Terms of Service

1. Acceptance of Terms

By accessing or using Pulspace® services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

These terms constitute a binding legal agreement between you and Pulspace®.

2. Description of Service

Pulspace® provides a voice feedback collection platform that includes:

• QR code generation for customer surveys
• Voice recording and AI transcription (via OpenAI Whisper)
• AI-powered sentiment analysis and insights (via OpenAI GPT-4)
• Analytics dashboard and reporting tools
• CSV export functionality

Beta Limitations: Features may change, be removed, or function imperfectly during beta testing. We do not guarantee specific uptime, accuracy, or feature availability.

3. Account Registration

To use Pulspace®, you must:

• Provide accurate business information (organization name, email)
• Create a secure password
• Be at least 18 years old
• Have legal authority to bind your organization
• Not share account credentials

You are responsible for all activity under your account.

4. Subscription Plans and Billing

4.1 Free Tier

• 1 survey maximum
• 50 responses per month (resets monthly)
• Basic features only
• 30-day data retention
• May include "Powered by Pulspace" branding

4.2 Starter Plan ($39/month)

• 5 surveys
• 300 responses per month
• Full AI analytics
• Remove branding
• Unlimited data retention
• Email support

4.3 Billing Terms

• All fees are in USD
• Billing occurs monthly via Stripe
• You authorize automatic recurring charges
• Prices may change with 30 days notice
• Taxes may apply based on your location
• Failed payments may result in service suspension

4.4 Refund Policy

14-Day Money-Back Guarantee: If you're not satisfied within 14 days of your first payment, contact info@pulspace.com for a full refund. After 14 days, all fees are non-refundable.

Beta Exception: During beta, we may offer additional refunds on a case-by-case basis for service issues.

5. Cancellation and Downgrade

• Cancel anytime via your account dashboard
• Cancellation takes effect at end of current billing period
• No refunds for partial months
• Downgrade to Free tier at end of billing period
• Data retained for 30 days after cancellation, then deleted

6. User Responsibilities

As a user of Pulspace®, you agree to:

• Obtain Consent: Inform respondents that voice recordings will be made and processed
• Comply with Laws: Follow GDPR, CCPA, and all applicable privacy laws
• Use Lawfully: Only collect feedback for legitimate business purposes
• No Sensitive Data: Do not collect health, financial, or children's data without proper consent
• Respect IP: Do not infringe on trademarks or copyrights
• No Abuse: Do not harass, spam, or abuse respondents

7. Prohibited Uses

You may NOT use Pulspace® to:

• Collect data from children under 16 without parental consent
• Violate any laws or regulations
• Transmit malware, viruses, or malicious code
• Attempt to hack, reverse engineer, or compromise the service
• Resell or redistribute the service without permission
• Use bots or automated tools to abuse the service
• Impersonate others or provide false information

Violation may result in immediate account termination without refund.

8. Intellectual Property

8.1 Our Property

Pulspace® owns all rights to the platform, including:

• Software code, design, and functionality
• Trademarks, logos, and branding
• Documentation and marketing materials
• AI models and algorithms we develop

8.2 Your Content

• You Own It: You retain ownership of survey questions and collected feedback
• License to Us: You grant Pulspace® a license to process, store, and analyze your content to provide services
• Improvement License: You grant us permission to use aggregated, anonymized data to improve AI models
• No Public Sharing: We will not publicly share your data without permission

9. Service Availability and Changes

• Beta Uptime: We target 99% uptime but do not guarantee uninterrupted service during beta
• Maintenance: Scheduled maintenance announced when possible
• Feature Changes: We may add, modify, or remove features at any time with or without notice during beta
• Third-Party Dependencies: Service relies on OpenAI, Supabase, Stripe, and Vercel (we are not responsible for their outages)

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We specifically disclaim:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees of accuracy of AI transcription or sentiment analysis
• Guarantees of uninterrupted or error-free operation
• Guarantees that the service will meet your specific needs
• Liability for third-party service failures (OpenAI, Stripe, etc.)

Beta Disclaimer: As a beta service, bugs and errors are expected. Use at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Pulspace® SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• This includes loss of profits, data, use, goodwill, or other intangible losses
• Our total liability to you for all claims shall not exceed the amount you paid us in the past 12 months (or $100 if you're on the free tier)
• Some jurisdictions do not allow limitation of liability, so these limits may not apply to you

Examples of what we're NOT liable for:

• Inaccurate AI transcriptions or sentiment analysis
• Lost business opportunities due to service downtime
• GDPR fines if you fail to obtain proper consent
• Third-party service failures (OpenAI, Stripe, etc.)

12. Indemnification

You agree to indemnify, defend, and hold harmless Pulspace® from any claims, damages, losses, or expenses (including attorney fees) arising from:

• Your use of the service
• Your violation of these terms
• Your violation of any laws or third-party rights
• Your failure to obtain proper consent for voice recordings
• Content you collect or submit

13. Privacy and Data Protection

Your use of Pulspace® is governed by our Privacy Policy. Key points:

• Audio deleted within 60 seconds after transcription
• We comply with GDPR for EU users
• We comply with CCPA for California users
• We never sell your data to third parties
• You can export or delete your data anytime

14. Termination

14.1 By You

• Cancel subscription anytime via account settings
• Access continues until end of billing period
• Request data export before cancellation

14.2 By Us

We may suspend or terminate your account if you:

• Violate these terms
• Fail to pay (after 7-day grace period)
• Abuse the service or harm others
• Engage in illegal activity

Effect of Termination: All rights cease immediately. Data deleted per Privacy Policy (typically 30 days).

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, contact info@pulspace.com. We'll try to resolve within 30 days.

15.2 Governing Law

These Terms are governed by the laws of [Your State/Country - Update when you register business], without regard to conflict of law provisions.

15.3 Arbitration (Optional)

For disputes under $10,000, both parties may opt for binding arbitration instead of court.

16. Changes to Terms

• We may update these terms at any time
• Material changes will be announced via email (7 days notice)
• Continued use after changes = acceptance of new terms
• If you disagree, cancel your subscription before changes take effect

During beta, terms may change more frequently as we refine our policies.

17. Miscellaneous

• Entire Agreement: These terms + Privacy Policy = complete agreement
• Severability: If any provision is unenforceable, the rest remains valid
• No Waiver: Our failure to enforce a right doesn't waive that right
• Assignment: You cannot transfer your account; we may transfer our rights
• Force Majeure: Not liable for delays due to circumstances beyond our control
